Terms of use

1. Who the portal is for

• Accounts are by invitation only. Vexis decides who is invited and may suspend or close a login at any time, for example if these terms are broken or the reason for the invitation has ended.
• The portal is for professional investors and investment professionals. It is not for the general public or for retail investors.
• Your login is personal to you. Do not share it, and keep your password and your two-step sign-in device safe.
• Tell us straight away if you think someone else has used your login.

2. Using the portal properly

You agree not to:

• try to see records other than your own, or get round any limit on what the portal shows you;
• copy, scrape or download the portal's content by automated means, or remove a watermark from a document;
• upload anything that is unlawful, that you do not have the right to share, or that contains malicious code;
• upload information that your current or former employer is entitled to keep confidential, such as client lists or proprietary code, beyond what you are free to share;
• use the portal in a way that could harm it, Vexis or anyone else.

3. Keeping what you see confidential

What the portal shows you is confidential to Vexis and the people it concerns. That includes anonymised profiles, the names of firms, candidates, teams and allocators, track records, mandates and documents shared with you. Use it only to decide whether to take an introduction forward with Vexis. Do not pass it on, or try to work out who an anonymised profile describes, or approach anyone you learn about through the portal except through Vexis. Downloaded documents carry a watermark that identifies you.

4. Your approvals and what you tell us

• An approval you sign is your own decision and authorises Vexis to introduce you, by name, to the firms you choose and to no one else. You can ask us not to make further introductions at any time.
• You confirm that what you tell us and upload is accurate to the best of your knowledge, and that sharing it with Vexis, and with the firms you approve, does not breach any duty you owe to anyone else.

5. No offer, no advice, no reliance

• Nothing in the portal is an offer of employment, an offer to invest or allocate capital, or a promise that an introduction will lead to either.
• Nothing in the portal is investment, legal, tax or financial advice, or a recommendation, and Vexis does not arrange or manage investments.
• Profiles, figures and documents come from the people they describe or from public sources. We take care with them but do not check every one; make your own enquiries before relying on anything you see.

6. Availability and changes

We try to keep the portal available and secure, but we do not promise it will always be available or free of errors, and we may change or withdraw features. We may change these terms; if a change matters, we will ask you to accept the new terms the next time you sign in.

7. Our liability

• Nothing in these terms limits liability that the law does not allow to be limited, including for death or personal injury caused by negligence, or for fraud.
• Otherwise, we are not liable for loss of profits, business or opportunity, or for indirect loss, arising from your use of the portal or reliance on what it shows.
• Our total liability to you in connection with the portal is limited to £100. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit.

8. Ending your use

You can stop using the portal at any time; Close my account, in the account menu, switches off your login and tells Vexis. Sections 3, 5 and 7 and this section continue after your login ends.

9. Law and disputes

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them. If any part of these terms is found unenforceable, the rest still applies.
